Piney Green Soccer Club Bylaws
ARTICLE I
The name of this organization is Piney Green Soccer Club; hereafter referred to as PGSC.
ARTICLE II
Section 1 - Authority
PGSC is established as a non-profit organization under the laws of the State of North Carolina, G.S. 55A and will be governed under the articles of this Statute.
Section 2- AFFILIATIONS
PGSC is a member of the following organizations: Eastern Carolina Soccer Association hereafter referred to as ECSA and North Carolina Youth Soccer Association hereafter referred to as NCYSA. PGSC will abide by the by-laws of these organizations. Except as otherwise noted in this document, or where local conditions prevent as determined by the Executive Committee, the Federal Internationals de Football Association (FIFA) and "Laws of the Game and Universal Guide for Referees" will provide the rules and regulations for games sponsored by or participated in by PGSC.
ARTICLE III
Section 1 - PURPOSE
The purpose of PGSC is to teach, foster, promote, and advance the cause of youth soccer in both recreational and competitive league play and to guard the interests of its teams and registered members (both players and coaches). The intent is to teach good sportsmanship, educate all participants in the fundamentals of the game as well as enhance the skills of all players. PGSC is dedicated to the idea that the game of soccer is a fun, healthy and worthwhile activity for all children.
Section 2 - GOALS
The goal of PGSC is to provide soccer programs that will assist players in their soccer skill and ability development such that the player can play soccer at any level based on their talent. PGSC is authorized to provide Recreational, Challenge and Classic soccer programs for U4 - U18. PGSC teams will play under the scheduling authority of ECSA or NCYSA.
ARTICLE IV
OFFICES
The Business office of PGSC will be at P.O. Box 12771, Jacksonville, NC 28546. The physical address will be at 4040 Hunters Trail, Jacksonville, NC 28536.
ARTICLE V
ADMINISTRATION
Section 1-Governing Body
(1)The Executive Committee (EC) will govern PGSC and are responsible for the operations of the club. The Appointed Position Members will assist the EC. Together, the Executive Committee and the Appointed Position members will make up the Board of Directors (BOD).
(2)The Executive Committee (EC) will consist of a President, Vice President, 2nd Vice President for Challenge/Classic, Secretary, Treasurer, and Commissioner. The EC positions will be filled by elected club members and will be responsible for the day-to-day operation of the club.
(3)The Appointed Position Members will consist of Micro Soccer Coordinator, Recreation Soccer Coordinator, Registrar, Risk Management Representative, Discipline & Appeals Representative, Field Manager, Equipment Manager, Concession Stand Manager, and the Webmaster.
Section 2- Membership
(1)The membership of the PGSC will consist of all registered players, parents/legal guardians of registered players, registered head coaches, appointed members of the BOD, and the EC.
(2)Membership in PGSC is open to all unless restricted for risk, legal, or disciplinary reasons as determined by the EC.
Section 3- Nominations
(1)Nominees must be an existing member within PGSC who is in good standing with the club. Once the person is nominated then there must be a seconded acceptance then a motion is made.
(2)Nominations can be made to the President in writing or emailed directly to him within 7 days of the initial nomination meeting (March).
(3)Nominations will be posted for 30 days on the PGSC website and emailed out to the members.
(4)Nominees will disclose a short biography of themselves and their youth soccer activities along with a photo to be placed on the website and emailed to the members.
(5)The Secretary will document the minutes of the nominees and provide them to the webmaster to be posted.
Section 4- Election of Officers
(1)The election of the EC will take place at the Annual General Meeting (AGM) conducted during the month of April. The election of the EC will be by the general membership.
(2)Elected Officials will serve for a period of one (1) year. The year will run Jun 1 - May 31.
Section 5-AGM Voting Rights
(1)Members will be provided the opportunity to vote for individuals nominated for EC positions.
(2)Only one parent/legal guardian may cast a vote, regardless of the number of the children they represent.
(3)EC members, Appointed Position members, and Registered Head Coaches may also cast a vote as long as he/she is not representing a registered player.
(4)Each member will have only one (1) vote regardless of the number of positions one holds.
(5)Members must be present at the AGM in order to cast their vote.
(6)Members do not have the right to vote on any other matter before the Governing Body (e.g. amendments, purchase requests, events, etc.). Only the Governing Body (i.e. the EC and BOD) may vote on these matters.
Section 6- Voting Process
(1)Only one parent/legal guardian may cast a vote, regardless of the number of the children they represent.
(2)EC members, Appointed Position members, and Registered Head Coaches may also cast a vote as long as he/she is not representing a registered player.
(3)Each member will have only one (1) vote regardless of the number of positions one holds.
(4)Members must be present at the AGM in order to cast their vote.
(5)The registrar will provide a member list to cross check THAT the voting members are in good standing (PRIOR TO OBTAINING A BALLOT) then the member may obtain their ballot.
(6)Inspectors of elections will be appointed by the President to help validating and execute the voting. They may not be nominees.
(7)In case of a tie the President will cast another ballot and be the tie breaker. In case of a tie against the President the current BOD will recast their vote minus the Presidents vote.
Section 7- Meetings
(1)Meetings will be held on regular basis to address all business with respect to the operation of PGSC.
(2)The EC will determine the frequency of these meetings, but at a minimum, meetings will be held every two months.
(3)Information regarding the time, date, and location of the meetings will be published to provide members the opportunity to attend.
(4)Meetings are open to all members.
(5)The AGM will be scheduled during the month of April of each year and attendance is open to all members.
(6)At all meetings, any member who so desires will be afforded the floor to address the Governing Body for a time period of no more than two (2) minutes.
(7)All Executive Committee and Board of Directors meetings shall have a quorum of a simple majority of the officers present to conduct PGSC business.
(8)Special meetings may be called at any time by the President or a majority of the BOD
Section 8- Amendments
(1)A proposal to make an amendment to the by-laws may be made at any meeting by any active member of PGSC.
(2)Voting will be postponed until the next meeting to allow for publication of the intent to amend the by-laws. A minimum twenty (20) day waiting period is required prior to voting.
(3)The amendment will be voted on by the BOD (Executive Committee & Appointed Position Members) and the current Head Coaches. These voting members must be present in order to cast their vote.
(4)A two-thirds majority of the BOD/Head Coaches present will be required to amend any bylaw. PGSC Rules are "standing" and may be amended by a majority vote of the Executive Committee, subject to the ratification of the BOD.
Section 9- Financial Management
(1)PGSC will be financially managed in accordance with all Federal, State and Local laws.
(2)The financial status of PGSC will be briefed at every meeting.
(3)The Treasurer with the assistance and supervision of the EC will prepare a budget for the upcoming year (Jun 1 to May 31) no later than 1 April. The proposed budget will be submitted to the Governing Body at the AGM and will include (at a minimum) an up-to-date balance sheet, forecast of expenditures for the remaining year, and profit / loss statements. Any member may review the proposed budget.
(4)All expenditures, contracts, and indebtedness must be approved by the EC.
(5)The President or Treasurer must sign all checks. All notes and contracts or other legal documents shall be signed by the President and attested by the Secretary.
ARTICLE VI
DUTIES of ELECTED COMMITTEE OFFICIALS
Section 1- President
(1)THE PRESIDENT shall direct and supervise the management of the club in accordance with the Bylaws & Rules.
(2)THE PRESIDENT will preside over all meetings of the Governing Body, sign all legal documents on behalf of the club, act as spokesperson for the club, and represent the club at ECSA Presidents Meetings and NCYSA Meetings. In case of a tie on any vote (except for election of President during the AGM), the President's vote will be cast a second time in order to break the tie.
(3)THE PRESIDENT shall appoint a Micro-Soccer Coordinator, Recreation Coordinator, Risk Management Representative, Discipline & Appeals Representative, Field Manager, Equipment Manager, Concession Stand Manager, and a Web Master.
(4)THE PRESIDENT shall appoint temporary committees as required or requested by the Governing Body.
(5)PRESIDENT shall relinquish all club papers, files, records, and property in his/her possession at the conclusion of term in office.
Section 2- Vice President
(1)THE VICE PRESIDENT shall assume the duties of the President in his/her absence and assume tasks as requested by the President
(2)THE VICE PRESIDENT shall relinquish all club papers, files, records, and property in his/her possession at the conclusion of term in office.
Section 3- 2nd Vice President for Challenge/Classic
(1)THE 2nd VICE PRESIDENT FOR CHALLENGE/CLASSIC will collect a written resume' from anyone desiring to coach a challenge team and make recommendations to the EC on selection of challenge coaches.
(2)THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall schedule, coordinate, ensure publication of, and, if necessary, assist in the tryout/selection process of challenge teams.
(3)THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall act as challenge representative to ECSA.
(4)THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall relinquish all club papers, files, records, and property in his/her possession at the conclusion of term in office.
Section 4- Secretary
(1)THE SECRETARY shall keep the minutes of all PGSC meetings.
(2)THE SECRETARY shall provide to the EC a copy of all meeting minutes within 7 to 10 days.
(3)The SECRETARY shall provide a copy to any BOD member of all meeting minutes within 7 to 10 days upon request.
(4)THE SECRETARY shall ensure all notices are publicized in accordance with these Bylaws & Rules.
(5)THE SECRETARY shall act as custodian of all records including the official (signed) copy of these Bylaws & Rules.
(6)THE SECRETARY shall keep records of each member's address and phone number up to three years of active participation in PGSC.
(7)THE SECRETARY shall obtain and maintain annual financial reports from the Treasurer.
(8)THE SECRETARY shall relinquish all papers, files, records, and club property in his/her possession at the conclusion of term in office.
Section 5- Treasurer
(1)THE TREASURER shall maintain records of all financial assets and transactions of PGSC.
(2)THE TREASURER shall maintain receive, deposit or disperse all funds in a timely manner.
(3)THE TREASURER shall keep full and accurate account of PGSC finances and present a financial brief and written statement to the Governing Body at every meeting.
(4)THE TREASURER shall prepare a proposed budget to include (at a minimum) an up-to-date balance sheet, forecast of expenditures for the remaining year, and profit / loss statements, in reasonable detail, and present to the Governing Body no later than 1 April. A copy will be filed with the Secretary.
(5)THE TREASURER shall surrender all records for inspection by a Financial Review Committee when requested.
(6)THE TREASURER shall relinquish all books, paper, files, and club property at the conclusion of his/her term in office.
Section 6- Commissioner
(1)THE COMMISSIONER shall act as liaison between PGSC, ECSA and NCYSA.
(2)THE COMMISSIONER will be responsible for the alignment of teams in each age group.
(3)THE COMMISSIONER shall assist the President in the day-to-day operation of PGSC.
(4)THE COMMISSIONER shall relinquish all papers, files, records, and property at the conclusion of his/her term in office.
ARTICLE VII
DUTIES OF APPOINTED OFFICIALS
Section 1- Micro-Soccer Coordinator
(1)THE MICRO-SOCCER COORDINATOR will assist and advise the President, Commissioner and Executive Committee on matters pertaining to the Under 6 and Under 8 teams including scheduling, structure and modified rules of play.
(2)THE MICRO-SOCCER COORDINATOR shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 2- Recreation Soccer Coordinator
(1)THE RECREATION COORDINATOR will assist and advise the President, Commissioner and Executive Committee on matters pertaining to the Under 9-Under 18 teams including scheduling, structure and modified rules of play.
(2)THE RECREATION COORDINATOR shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 3- Registrar
(1)THE REGISTRAR shall attend all required NCYSA certification clinics. THE REGISTRAR shall attend all required NCYSA certification clinics.
(2)THE REGISTRAR, along with assistant registrar(s), will cause the proper registration of players and coaches.
(3)THE REGISTRAR shall perform his/her duties in accordance with NCYSA Registrar Handbook.
(4)THE REGISTRAR shall relinquish all books, papers, files and club property at the conclusion of his/her term in office.
Section 4- Risk Management Representative
(1)THE RISK MANAGEMENT REPRESENTATIVE shall attend all required NCYSA certification clinics.
(2)THE RISK MANAGEMENT REPRESENTATIVE shall report all risk concerns/solutions to the Executive Committee.
(3)THE RISK MANAGEMENT REPRESENTATIVE shall be familiar with NCYSA Rules and perform his/her duties in accordance with the same.
(3)THE RISK MANAGEMENT REPRESENTATIVE shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 5- Discipline & Appeals Representative
(1)THE DISCIPLINE & APPEALS REPRESENTATIVE shall attend all required NCYSA certification clinics.
(2)THE DISCIPLINE & APPEALS REPRESENTATIVE shall be familiar with the NCYSA Discipline & Appeals Manual as well as NCYSA Rules, and perform his/her duties in accordance with the same.
(3)THE DISCIPLINE & APPEALS REPRESENTATIVE shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 6- Field Manager
(1)THE FIELD MANAGER will ensure that all fields are properly marked in accordance with ESCA and NCYSA guidelines.
(2)THE FIELD MANAGER will ensure that all goals are within ECSA and NCYSA guidelines, all goals are anchored properly and all nets are in good condition.
(3)THE FIELD MANGER will submit all bulk supply requests to the EC at least thirty (30) days prior to those supplies being needed. Exception to this policy is broken or unrepairable equipment that must be replaced immediately for the operations of the fields of play. The field manager will receive authorization from the President. In the event the President cannot be immediately reached, authorization will then be made from an EC member.
(4)THE FIELD MANAGER will advise the EC in the event of inclement weather requiring the possibility of closing of any or all fields.
(5)THE FIELD MANAGER shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 7- Equipment Manager
(1)THE EQUIPMENT MANAGER will ensure that all PGSC owned equipment is properly accounted for and is in usable condition.
(2)THE EQUIPMENT MANAGER will ensure that any unusable equipment is properly disposed of.
(3)THE EQUIPMENT MANAGER will submit all bulk supply requests to the EC at least thirty (30) days prior to those supplies being required. Exception to this policy is broken or unrepairable equipment that must be replaced immediately for the operations of the game. In the event the President cannot be immediately reached, authorization will then be made from an EC member
(4)THE EQUIPMENT MANAGER shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 8- Concession Stand Manager
(1)THE CONCESSION STAND MANAGER will operate the concession stand under all mandated State and Local laws.
(2)THE CONCESSION STAND MANAGER will purchase and stock the concession stand weekly.
(3)THE CONCESSION STAND MANAGER will provide a schedule and organize teams to volunteer in the concession stand for the weekend games.
(4)THE CONCESSION STAND MANAGER will submit all equipment purchases to the EC at least (30) days prior to the equipment being required. Exception to this policy is broken or unrepairable equipment that must be replaced immediately for the operations of the concession stand. In the event the President cannot be immediately reached, authorization will then be made from an EC member.
(5)THE CONCESSION STAND MANAGER shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
Section 9- Webmaster
(1)THE WEBMASTER will advise the EC on the proper content of the PGSC website.
(2)THE WEBMASTER will update the PGSC website as required within 72 hours of any information passed with the guidance of the EC.
(3)THE WEBMASTER shall relinquish all papers, files, records, and club property at the conclusion of his/her term.
PGSC RULES
RULE I
MEMBERSHIP
MEMBERSHIP is determined after players have been properly registered and fees paid for the ensuing season.
RULE II
RESIGNATION AND REMOVAL
(1)RESIGNATION of any Elected Officer, Appointed Position Member may be made at any time by communicating his/her desire in writing to the EC. Unless an "as of" date is specified, the resignation will be immediate.
(2)REMOVAL of any Elected Officer will follow the same procedure as the election process. An Elected officer may only be removed by a majority vote from the members with voting rights.
(3)REMOVAL of any Appointed Position Member may be made by the President immediately.
(4)REMOVAL of any Coach may be made a majority of vote from the EC.

RULE III
MEETINGS
(1)Meetings will be called when necessary, at a minimum once every two months.
(2)Time and place of meetings will be announced.
(3)Meetings and are open to the general membership. Schedule changes will be made public.
(4)A quorum is constituted if 25% of the BOD is present or, in the case of the Executive Committee, a majority of elected officers are present.
(5)The Order of Business will be as follows:
(a) Call to Order
(b) Determination of a Quorum
(c) Reading/Acceptance of the Minutes of Previous Meeting
(d) Old Business
(e) New Business
(g) Good of the Club
(h) Adjournment
RULE IV
RECORDS & REPORTS
(1)All records pertaining to individual offices and committees will be retained by that officer or committee chairperson. All other records and all reports will be maintained by the secretary.
(2)Any and all records may be called for inspection by the EC and should be surrendered in a timely manner.
(3)A Financial Review Committee will be formed and financial review of PGSC receipts and financial statements will take place within thirty (30) days of election of officers or whenever the Treasurer's Office is vacated.
RULE V
RULES OF PLAY
(1)Rules of Play are set by FIFA will be followed unless otherwise modified by U.S. Youth Soccer, NCYSA, ECSA or, in the case of U-6 and U-8, PGSC Executive Committee.
RULE VI
AGE LIMITS
(1)PGSC will field teams, as numbers permit, from Under 6 to Under-18, within the limits of U.S. Youth Soccer, NCYSA and ECSA.
(2)To be eligible for a particular age group, a player may not have attained that age before 1 August of the upcoming playing year (fall/spring).
(3)Although generally discouraged, players may "play up" an age group if his/her abilities justify it and the player's parents permit it.
RULE VII
ROSTER LIMITATIONS
(1)Team roster limits for Under-9 and above will be in accordance with NCYSA Rules.
(2)Team roster limits for Under-8 and below will be in accordance with NCYSA Rules.
RULE VIII
PLAYER RELEASE PROCEDURES
(1)Procedures to release players from one team or level to play with another team will be in strict compliance with NCYSA.
(2)Procedures to "drop" players from a team will be in strict compliance with NCYSA.
RULE IX
SUBSTITUTIONS
(1)Substitutions for age groups/divisions playing halves will be in accordance with FIFA, NCYSA and ECSA rules.
(2)Age groups/divisions playing quarters may substitute only at the beginning of each quarter, occurrence of injury, or issuance of a caution by the official.
RULE X
FORFEITURES
(1)Forfeit procedures for Under-9 and above will be in accordance with ECSA Rules.
(2)As score is not kept for Under-8 and below, forfeit does not apply.
RULE XI
CODE OF CONDUCT
(1)PGSC Coaches Code of Ethics will be issued to all coaches prior to each playing season and a signed copy from each coach will be maintained by the secretary.
(2)Parents of all players will be schooled on proper parental/spectator behavior and sign PGSC Parents Pledge.
RULE XII
SUSPENSION
Suspension of any coach/team will be accordance with NCYSA and ECSA Rules. Length of a suspension may be increased by PGSC Executive Committee.
RULE XIII
CONTROLLED SUBSTANCES
Under no circumstances will alcohol or tobacco products be used on or around PGSC playing fields.
RULE XIV
RISK MANAGEMENT PROGRAM
NCYSA Rules will be strictly adhered to under the supervision of the Risk Management Representative.
RULE XV
DISCIPLINE & APPEALS (D&A)
NCYSA Rules will be strictly adhered to under the supervision of D&A Representative and the Executive Committee.
RULE XVI
CHALLENGE/CLASSIC LEAGUE
(1)PGSC may field challenge/classic team(s) in age groups Under-10 through Under-14 providing there are sufficient numbers of players with the appropriate skill level to compete in an age group offered by ECSA or NCYSA. PGSC WILL NOT field a challenge/classic team unless the talent pool justifies a team in any particular age group.
(2)Publicized tryouts must be held to ensure the most skilled players have the opportunity to be selected.
(3)Once a player accepts their spot on a team they must pay the full year's registration fee to play prior to the season's first game. This registration fee is non-refundable and will be held by PGSC if the player chooses to break the one year commitment. If a player MUST be released due to military orders then the parent may address the EC for a partial refund.
(4)Challenge matches will be scheduled by ECSA. Only the Commissioner of ECSA is authorized to reschedule a challenge match.
(5)NCYSA Rules and ECSA Challenge Policy will be strictly adhered to.
RULE XVII
FINES & FEES
Fines for forfeit and other violations, which affect league play, will be enforced as outlined in NCYSA and
ECSA Rules.
RULE XVIII
DISSOLUTION
PGSC is organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organization described under Section 501(C)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Upon dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c) (3) of the Internal Revenue Code, of corresponding section of any future federal tax code, or shall be distributed to the Hunters Creek Middle School, for a public purpose. Any such assets not disposed of shall be disposed of by court of competent jurisdiction in the county in which the principal office of PGSC is located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
